These Terms & Conditions ("Terms") govern your access to and use of the products and services provided by Adrisco LLC ("Adrisco", "we", "us"), including:

• DCC One / Artemis, the nurse-call and resident-safety platform, including the on-premise Artemis site servers, the DCC One web dashboard and cloud service, and the support, messaging and notification features offered through them.
• Artemis Care, the nurse-call pager app for care staff.
• Artemis Setup, the companion app for installers and technicians.

Together these are the "Services". By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of a care community or other organization, you agree to these Terms on its behalf and confirm you are authorized to do so. If you do not agree, do not use the Services.

Eligibility and accounts

The Services are workplace tools provided to care communities, their staff and administrators, and authorized installers. Accounts are created by your organization or by Adrisco. You must be at least 18 years old to use the Services.

You are responsible for keeping your credentials, PINs and devices secure, and for all activity under your account. Notify us promptly at [email protected] if you suspect unauthorized access.

Acceptable use

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms.
• Access data, sites or accounts you are not authorized to access.
• Interfere with, disrupt or attempt to gain unauthorized access to the Services or their underlying systems.
• Reverse engineer, decompile or copy the Services, except as permitted by law.
• Resell, sublicense or provide the Services to third parties without our written permission.
• Upload malicious code or content that infringes the rights of others.

Customer data and privacy

The care community owns its resident and operational data. Adrisco processes that data only to provide the Services, as described in our Privacy Policy. Where resident data is protected health information, Adrisco acts as a business associate under the business associate agreement or other data processing terms in place with the community.

Data deletion

To request deletion of your data, email [email protected] or go to one.poltys.com/en/support and submit a request for data deletion. We will complete the deletion within 30 days of receiving your request.

Nurse-call and alarm delivery

The Services help care staff receive and respond to resident alarms, but they do not replace a community's staffing, supervision, emergency procedures or obligation to monitor residents. Alarm and notification delivery depends on networks, power, hardware, mobile devices, carriers and third-party services that are outside our control, and may be delayed or fail. The Services are not an emergency service. In an emergency, call 911 or your local emergency number.

SMS Terms

Brand. Text messages under this program are sent by Artemis, the registered brand of Adrisco LLC for the DCC One / Artemis platform.

Program description. When you provide a mobile phone number and opt in, for example by requesting a support callback or enabling text alerts in DCC One, you agree to receive service text messages from Artemis. These include support callback notifications, responses to support requests, and operational alerts about your sites and systems. We do not send marketing messages under this program.

Message frequency. Message frequency varies based on your support requests and account activity.

Costs. Message and data rates may apply. Check your mobile plan for details. Adrisco does not charge for text messages, but your carrier's standard rates apply.

Opting out. You can cancel at any time by replying STOP to any message. You will receive one confirmation message, and no further messages will be sent unless you opt in again. You can also opt out by emailing [email protected].

Help. Reply HELP to any message for help, or contact us at [email protected].

Consent. Consent to receive text messages is not a condition of purchasing any product or service.

Carriers. Supported carriers include major U.S. and Canadian carriers. Carriers are not liable for delayed or undelivered messages.

Privacy. We do not sell or share your SMS opt-in data or personal information with third parties for marketing purposes. See our Privacy Policy for how we handle your information.

Third-party services

The Services rely on third-party providers, such as hosting, email, messaging and mobile platform providers. Your use of Apple devices, app stores and carrier networks is also subject to those parties' terms. We are not responsible for third-party services we do not control.

Intellectual property

The Services, including their software, design, documentation and trademarks, are owned by Adrisco LLC and its licensors. Subject to these Terms and any agreement with your organization, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your organization's internal operations.

If you send us feedback or suggestions, we may use them without obligation to you.

Fees

Fees for the Services are set out in the agreement or order between Adrisco and your organization. Individual staff users are not charged for using the Services.

Suspension and termination

We may suspend or terminate access to the Services if you violate these Terms, if required by law, or to protect the security of the Services or other users. Your organization may stop using the Services under the terms of its agreement with Adrisco. Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability and governing law, survive.

Disclaimers

Except as expressly stated in a written agreement with your organization, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

Limitation of liability

To the fullest extent permitted by law, Adrisco LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue or data, arising from or related to the Services. Our total liability for any claim relating to the Services is limited to the amounts paid to Adrisco for the Services in the twelve months before the event giving rise to the claim, unless a written agreement with your organization provides otherwise.

Indemnification

You agree to indemnify and hold harmless Adrisco LLC from claims, damages and expenses arising from your misuse of the Services or violation of these Terms.

Governing law

These Terms are governed by the laws of the United States and of the state in which Adrisco LLC is organized, without regard to conflict-of-law rules, except where the law of your province or state requires otherwise.

Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Continued use of the Services after changes take effect means you accept the updated Terms.
